3. Virtual Assistant Services - Special Terms
3.1 Service Hours and Availability
Virtual Assistant services are provided during agreed business hours (typically 9 AM - 5 PM GMT, Monday to Friday, unless otherwise specified in your service agreement).
3.2 Access and Authorization
For Virtual Assistant services, you agree to:
- Provide necessary access credentials and permissions
- Clearly define authorized tasks and limitations
- Maintain responsibility for all account security
- Promptly revoke access when services are terminated
3.3 Task Management
Virtual Assistant tasks will be managed through agreed communication channels and project management tools. Response times vary based on task urgency and service level agreement.
3.4 Confidentiality
We maintain strict confidentiality regarding all business information accessed during Virtual Assistant services and will sign additional NDAs as required.
4. Service Agreements

5. Payment Terms

4.2 Payment Schedule
- 50% deposit required before project commencement
- Remaining balance due upon project completion
- Monthly retainer services billed in advance
- Payment due within 14 days of invoice date

Payment terms vary by service type:
- Development projects: 50% upfront, 50% on completion
- Virtual Assistant services: Monthly billing in advance
- Consultation: Payment due within 7 days of invoice
5.3 Late Payments
Late payments may incur a 1.5% monthly service charge and may result in project suspension until payment is received.
6. Intellectual Property
6.1 Client Ownership
Upon full payment, clients own all custom code, content, and deliverables created specifically for their project.
6.2 Our Retained Rights
We retain rights to:
- General methodologies and techniques
- Pre-existing intellectual property
- Generic code libraries and frameworks
- Knowledge and experience gained

Projects may include third-party libraries, APIs, or services subject to their respective licenses and terms.

We maintain strict confidentiality regarding:
- Client business information and data
- Project details and requirements

- Any information marked as confidential
- Virtual Assistant access credentials and business processes
8. Warranties and Disclaimers

We warrant that our services will be performed with professional skill and care in accordance with industry standards.
8.2 Disclaimers
Except as expressly stated, our services are provided "as is" without warranties of any kind. We do not guarantee:
- Specific business results or ROI
- Compatibility with all third-party systems
- Uninterrupted operation of delivered solutions
- Future-proofing against technology changes
9. Limitation of Liability
Our total liability for any claim shall not exceed the total amount paid by the client for the specific project or service. We are not liable for:
- Indirect, consequential, or punitive damages
- Loss of profits, data, or business opportunities
- Third-party claims or actions
- Force majeure events beyond our control
10. Client Responsibilities
Clients are responsible for:
- Providing accurate project requirements and information
- Timely feedback and approvals
- Access to necessary systems and data
- Compliance with applicable laws and regulations
- Backup and security of their own data
11. Support and Maintenance
11.1 Warranty Period
We provide 30 days of free bug fixes and minor adjustments after project delivery.
11.2 Ongoing Support
Extended support and maintenance services are available under separate agreements with defined terms and pricing.
12. Termination
12.1 Termination by Client
Clients may terminate projects with 7 days written notice. Payment is due for all work completed to the termination date. For Virtual Assistant services, 30 days notice is required.
12.2 Termination by Us
We may terminate agreements for:
- Non-payment of invoices
- Breach of terms by the client
- Unreasonable or abusive behavior
- Illegal or unethical requests
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.
15. Modifications
We reserve the right to modify these Terms at any time. Significant changes will be communicated to active clients with 30 days notice.
